1. Introduction
Welcome to Valmo Partners ("we," "our," or "the Company"). These Terms and Conditions govern your use of our website and your participation in the Valmo Partners franchise and hub program. By submitting an application or entering into a partnership agreement with us, you agree to be bound by these terms.
These terms apply to all visitors, applicants, franchise partners, hub partners, and distributors associated with Valmo Partners.
2. About Valmo Partners
Valmo Partners is an authorized representative and channel partner of Valmo Express Courier Services. We facilitate the onboarding of franchise partners, hub operators, and distributors on behalf of the Valmo network. We do not operate independently of the Valmo Express brand and all operations must comply with Valmo Express's policies and guidelines.
3. Eligibility to Apply
To apply for a franchise or hub partnership, you must meet the following eligibility requirements:
- You must be a citizen of India and at least 21 years of age.
- You must have a valid Aadhaar card, PAN card, and GST registration (or be willing to obtain one).
- You must have a registered business entity (sole proprietorship, partnership, LLP, or Pvt. Ltd.).
- You must have the financial capacity as specified in the franchise investment requirements.
- You must have access to a suitable commercial space as per the area requirements.
- You must not have any prior criminal record or pending legal matters that may conflict with the partnership.
4. Application Process
Submitting an application form on our website does not guarantee approval or a partnership agreement. Applications are subject to review, background checks, and approval by our team and/or Valmo Express. We reserve the right to approve or reject any application without providing a reason.
Upon submission, our team will contact you within 2–5 business days for further verification and discussion. Any information provided in the application must be accurate and truthful; false information may result in immediate disqualification.
5. Franchise Agreement & Investment
- All partners must sign the official Valmo Partner Agreement before commencing operations.
- Investment amounts are non-negotiable and subject to change at the discretion of Valmo Express.
- Franchise fees and setup costs are non-refundable once the onboarding process has commenced.
- Partners must invest within the agreed timeline. Delays may result in cancellation of the partnership slot.
- Any additional costs for space setup, equipment, or infrastructure are the sole responsibility of the partner.
6. Operational Responsibilities
As a Valmo Partner, you are responsible for:
- Operating within the designated territory assigned to you in your agreement.
- Meeting minimum monthly pickup and delivery volume targets as agreed upon.
- Maintaining the standards of customer service prescribed by Valmo Express.
- Using only Valmo-authorized technology, software, and branding materials.
- Ensuring timely and accurate handling of all parcels and shipments.
- Reporting daily operational data through Valmo's system as required.
7. Intellectual Property
The Valmo Express brand name, logo, trademarks, and all associated intellectual property remain the sole property of Valmo Express. Partners are granted a limited, non-exclusive, revocable license to use Valmo's brand identity solely for the purpose of operating their authorized franchise or hub. Unauthorized use of Valmo's trademarks or brand assets is strictly prohibited and may result in legal action.
8. Confidentiality
All partners must maintain strict confidentiality of business processes, pricing structures, internal communications, customer data, and proprietary information shared by Valmo Partners or Valmo Express. Breach of confidentiality may result in immediate termination of the partnership and legal action for damages.
9. Termination of Partnership
Either party may terminate the partnership agreement with 30 days' written notice. We reserve the right to terminate a partnership immediately, without notice, in cases of:
- Violation of these terms or the Partner Agreement.
- Fraudulent activity, misrepresentation, or criminal conduct.
- Consistent failure to meet operational targets or quality standards.
- Unauthorized use of Valmo's brand or intellectual property.
- Breach of confidentiality obligations.
Upon termination, the partner must immediately cease using all Valmo branding and return any materials provided by the company.
10. Limitation of Liability
Valmo Partners and Valmo Express shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the partnership. Our total liability in any matter shall not exceed the total fees paid by you to us in the three months preceding the claim. We do not guarantee specific revenue, profit, or business success outcomes.
11. Dispute Resolution
Any disputes arising from this partnership shall first be attempted to be resolved through mutual negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be New Delhi, India. The language of arbitration shall be English or Hindi.
12. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.
13. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Updated terms will be posted on this website with the revised effective date. Continued participation in the Valmo Partners program after any changes constitutes acceptance of the updated terms. It is your responsibility to review these terms periodically.
